We received another important update regarding the Beneficial Ownership Information (BOI) reporting requirements under the Corporate Transparency Act (CTA). The Treasury Department has announced a significant shift in its enforcement policy.

What’s Changing?

  • Enforcement Suspension: The Treasury Department has declared it will not enforce any penalties or fines associated with BOI reporting for U.S. citizens and domestic reporting companies. This suspension applies to both current deadlines and future rule changes.
  • Proposed Rule Change: The Treasury plans to issue a proposed rule that will significantly narrow the scope of the BOI reporting requirement. The intention is to focus the rule solely on foreign reporting companies.

Why the Change?

The Treasury Department states that this decision is made to support American taxpayers and small businesses, and to ensure the BOI reporting rule is appropriately focused on its intended purpose.

What This Means for You:

Essentially, the Treasury Department is stepping back from enforcing BOI reporting requirements for businesses based in the United States. This means that at this time, domestic businesses and their beneficial owners will not be subject to penalties or fines related to BOI reporting under the CTA. If you already submitted your BOI reports, this does not affect you.

Bottom Line:

  • The Treasury Department will not enforce penalties for BOI reporting against U.S. citizens or domestic companies, now or after the planned rule changes.
  • The BOI reporting rule is expected to be revised to apply only to foreign reporting companies.
